These Terms & Conditions ("Terms") constitute a legally binding agreement between Quantique Metadata Private Limited ("Quantique", "Company", "We", "Us", or "Our") and any person or entity accessing, browsing, or utilizing the website quantique.ai and any associated subdomains, web applications, or digital interfaces (collectively, the "Platform" or "Website").
By accessing the Platform, submitting inquiries, or interacting with any content published herein, you explicitly agree to be bound by these Terms. If you are entering into these Terms on behalf of a corporate entity, company, or partnership, you represent and warrant that you possess the requisite legal authority to bind such entity to these provisions. If you do not agree to these Terms, you must immediately cease all access and use of the Platform.
1. Scope of Services & B2B Engagements
1.1 Digital Infrastructure Solutions
Quantique provides AI-powered digital infrastructure solutions engineered for the insurance and automotive industries. These services encompass, but are not limited to:
- Enterprise SaaS Products: Customer Relationship Management (CRM) tools, automated Claims Management systems, Field Sales productivity tools, and Predictive Analytics suites.
- Professional Services: Digital transformation consulting, customized Artificial Intelligence (AI) and Machine Learning (ML) development, and enterprise-grade Application Programming Interface (API) deployment and management.
1.2 Overriding Master Agreements
The Platform serves primarily as an informational hub, lead generation portal, and interface for prospective or current clients. These Terms govern public and preliminary access to the Platform.
The actual provisioning, deployment, service level agreements (SLAs), pricing, uptime guarantees, and detailed operational deployment of any enterprise SaaS product or consulting project are strictly governed by standalone Master Service Agreements (MSAs), Software-as-a-Service (SaaS) Agreements, or Statements of Work (SOWs) executed independently in writing between Quantique and the respective corporate client. These Terms do not supersede or modify any executed commercial MSA or SOW.
2. Platform Access and Acceptable Use Policy
2.1 Permitted Use
Users are granted a non-exclusive, non-transferable, revocable, limited license to access the Platform solely for lawful, professional, and informational purposes. You may utilize the site to review product documentation, read published white papers or case studies, request product demonstrations, and communicate with the Quantique corporate development team.
2.2 Prohibited Activities
You expressly agree not to engage in, facilitate, or assist others in any of the following restricted actions:
- System Interference: Circumventing, disabling, or tampering with any security-related features, authentication protocols, or access restrictions of the Platform.
- Reverse Engineering: Decompiling, reverse-engineering, disassembling, or attempting to derive the source code, underlying algorithms, structures, or conceptual frameworks of any software tool, demo environment, or model visible on the Platform.
- Data Extraction & Scraping: Utilizing automated systems, scripts, spiders, robots, scrapers, or indexers to extract data, text, corporate materials, product descriptions, or code from the Platform without prior, explicit written authorization from Quantique.
- Malicious Transmission: Uploading or transmitting viruses, Trojan horses, worms, logic bombs, time bombs, or any other malicious, technologically harmful, or legally actionable content into the Platform or its hosting servers.
- Infrastructure Overload: Engaging in actions that impose an unreasonable or disproportionately large technical load on the Platform's infrastructure, including but not limited to Denial-of-Service (DoS) and Distributed Denial-of-Service (DDoS) attacks.
3. Intellectual Property Rights
3.1 Ownership of Assets
The Platform, its entire contents, features, and functionalities—including but not limited to text, graphics, user interfaces, visual design systems, logos, corporate branding, product descriptions, software mock-ups, proprietary methodologies, research papers, case studies, source code, data arrangements, and audio/video materials—are the exclusive intellectual property of Quantique Metadata Private Limited or its designated licensors. These assets are rigorously protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international intellectual property treaties.
3.2 Restrictions on Redistribution
No portion of the Platform's proprietary content may be copied, reproduced, republished, modified, reverse-engineered, uploaded, posted, publicly displayed, transmitted, or distributed in any manner whatsoever to any third-party server, platform, or media network without the prior, express written consent of an authorized officer of Quantique.
3.3 Trademark Protection
All product names, brand designations, and logos associated with Quantique's proprietary modules (including but not limited to references to proprietary CRM, claim intelligence, or automated field modules) are proprietary marks. Unauthorized use of these trademarks in connection with any product or service that is likely to cause confusion, or in any manner that disparages or discredits Quantique, is strictly prohibited and legally actionable.
4. Confidentiality and Pre-Contractual Engagements
4.1 Scope of Confidential Information
Quantique frequently engages with prospective enterprise clients through product demonstrations, proofs of concept (PoCs), Request for Proposals (RFPs), and technical scoping sessions. Any commercial, technical, operational, financial, or strategic data disclosed by either party during such pre-contractual phases shall be deemed "Confidential Information."
4.2 Obligations of Non-Disclosure
Quantique covenants and agrees to maintain strict confidentiality regarding all client-specific data or internal metrics shared with Us during these discovery sessions. We shall not disclose, sell, leak, or distribute such information to any third party, except:
- To our internal employees, sub-contractors, or technical experts who have a bona fide "need-to-know" for evaluating the commercial engagement and who are bound by non-disclosure obligations no less restrictive than those contained herein.
- As mandated by an order of a court of competent jurisdiction, regulatory authority, or statutory body, provided that Quantique offers prompt written notice to the affected prospective client (to the extent legally permissible) to enable them to seek protective relief.
5. Data Privacy and Regulatory Compliance
5.1 Privacy Policy Incorporation
Your access to the Platform and the submission of any personally identifiable data or corporate metadata are simultaneously governed by the Quantique Privacy Policy. The Privacy Policy is fully integrated into these Terms by reference.
5.2 Statutory Compliance
Quantique handles personal data and corporate user credentials in strict accordance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (SPDI), and the Digital Personal Data Protection Act, 2023 (DPDP Act) along with any subsequent active DPDP Rules, 2025.
6. Third-Party Links, Integrations, and API Ecosystem
6.1 External Hyperlinks
The Platform may contain links or redirect gateways to external websites, portals, or cloud applications operated by third parties, channel partners, or system integrators. These hyperlinks are provided purely for convenience and contextual illustration. Quantique exercises no administrative or editorial control over the content, security architectures, operational uptime, or data privacy practices of external platforms. Accessing third-party links is done entirely at your own commercial and technical risk.
6.2 Extended API Ecosystem
Quantique's digital infrastructure is designed to interface and natively integrate with third-party external applications, including legacy insurance core architectures, original equipment manufacturer (OEM) automotive databases, public registry frameworks, and external telematics providers.
6.3 Integration Boundary Clause
You explicitly acknowledge that any such API connections, live database synchronizations, and data pipelines are fundamentally subject to, dependent on, and governed by the independent terms of service, API rate limits, and end-user license agreements of those respective third-party provider systems. Quantique shall not be held liable or responsible for interruptions, latency, data truncation, or unilateral modifications executed by third-party API providers.
7. Indemnification
You agree to indemnify, defend, and hold harmless Quantique Metadata Private Limited, its board of directors, officers, employees, technical consultants, affiliates, and lawful agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees and administrative costs) arising directly or indirectly from:
- Your material breach of any provision contained within these Terms.
- Your unauthorized or illegal use of the Platform, proprietary software mock-ups, or materials.
- Your infringement of any intellectual property rights, privacy rights, or proprietary trade secrets belonging to Quantique or its third-party licensors.
- Your non-compliance with applicable statutory or regulatory mandates connected to your operational utilization of data pulled or viewed via the Platform.
8. Limitation of Liability
- To the maximum extent permitted by law, Quantique, its directors, employees, and partners are not liable for any indirect, accidental, or consequential losses arising from your use of this Platform. This means we are not responsible for lost profits, business interruptions, website downtime, loss of algorithmic data, or the cost of finding replacement technology, even if we were advised that these issues could happen. Because this Website, its tools, standard lead forms, and exploratory evaluations are provided to you free of charge, Quantique carries zero direct liability for your use of them.
- Under no circumstances shall Quantique be liable to the client or any third party for any monetary damages, compensation, or financial restitution under these Terms, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
9. Disclaimer of Warranties
- All materials, data points, product features, software descriptions, workflow diagrams, and case studies published across the Platform are compiled and presented solely for general informational and educational purposes. They are designed to illustrate Quantique's engineering capabilities, deep-tech infrastructure modules, and industry solutions.
- The Platform, its entire underlying code, analytics templates, dashboard previews, and published contents are provided strictly on an "As Is" and "As Available" basis. Quantique makes no explicit or implied representations, endorsements, or warranties of any kind regarding the completeness, security, reliability, operational continuity, error-free execution, or fitness for a particular commercial purpose of the Platform.
- While Quantique deploys strict enterprise security safeguards and encryption layers, We do not warrant or guarantee that the Platform will operate uninterrupted, that technical latencies will not occur, that bugs or algorithmic anomalies will be resolved instantly, or that the Platform or the servers that host it are entirely free of technical vulnerabilities or localized cyber-threats. Download or acquisition of any material from the Platform is executed entirely at your own discretion and infrastructure risk.
- All materials, data points, product features, software descriptions, workflow diagrams, and case studies published across the Platform are compiled and presented solely for general informational and educational purposes. They are designed to illustrate Quantique's engineering capabilities, deep-tech infrastructure modules, and industry solutions.
- Nothing contained on this Platform constitutes formal professional insurance underwriting advice, legal advice, institutional financial planning, or binding technical architectural consulting tailored to any specific corporate entity or individual circumstances. Organizations must perform independent professional verification prior to relying on any architectural or product workflows outlined herein.
- Any statistical data points, performance graphs, or operational metrics displayed on the Website or within promotional materials (including references to specific quantities of policies processed per calendar month, active third-party API integration nodes, automated claims-handling speeds, or corporate client satisfaction scores) reflect historical engineering performance and data collected during controlled environments or specific corporate client implementations. These metrics are purely illustrative. Quantique provides no assurance or guarantee that a future deployment or alternative deployment environment will achieve identical performance criteria.

It does not constitute a legal guarantee or certification of regulatory compliance for any corporate deployment. Quantique shall not be held liable for any statutory violations, institutional fines, or regulatory actions initiated against a client by the IRDAI or any other data protection board.
- Quantique does not sell, underwrite, solicit, distribute, or broker insurance policies, nor does it collect premium payments from retail consumers or manage risk pools directly. Any platform descriptions, illustrative workflow graphics, or data simulations relating to insurance products, coverage categories, or claims processing exist purely to demonstrate the technical capabilities and automation logic of our code architecture, and must never be interpreted as an offering, solicitation, or expert consultation regarding insurance products.
- Quantique reserves the absolute, unilateral right, without prior notice or assigning any explicit legal reason, to terminate, suspend, or restrict your access to all or any part of the Platform with immediate effect.
10. Artificial Intelligence and Machine Learning Technology Outputs
- Quantique's proprietary software solutions deploy advanced neural networks, predictive modeling, machine learning frameworks, and automated data parsing algorithms. You explicitly recognize and agree that these AI and technological tools are engineered exclusively to augment, assist, and inform human decision-making, not to replace it.
- Predictive analytics, claim risk scoring, automated fraud indicators, and underwriting recommendations generated by Quantique's models represent statistical probabilities derived from historical data variables and external API inputs. Quantique makes no absolute guarantee, representation, or warranty regarding the flawless accuracy, mathematical completeness, operational infallibility, or real-time correctness of any AI-generated output.
11. Governing Law and Jurisdiction
These Terms, their construction, validity, performance, and any non-contractual obligations or disputes arising out of or in connection with them shall be governed exclusively by, and construed strictly in accordance with, the substantive laws of the Republic of India, without giving effect to any principles of conflicts of law. The parties explicitly agree that any legal action, suit, or judicial proceeding instituted to resolve matters arising out of these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
12. Miscellaneous Provisions
12.1 Severability
If any provision or clause of these Terms is determined by a court of competent jurisdiction or statutory authority to be invalid, illegal, or legally unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions. The invalid clause shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original commercial and protective intent.
12.2 Force Majeure
Quantique shall not be held liable, penalized, or deemed in breach of these Terms for any delay, performance failure, data latency, or interruption resulting directly or indirectly from acts of God, civil unrest, acts of terrorism, war, strikes, cyber-attacks of extraordinary scale, nationwide telecommunication or power grid failures, government embargoes, or modifications to statutory law.
12.3 Amendments and Modifications
Quantique reserves the right to review, update, and modify these Terms at any time to reflect technological developments, operational alterations, or shifts in statutory frameworks. Any such modifications shall become legally binding immediately upon being posted onto the Platform. The date of the latest iteration will be prominently updated in the "Effective Date" field. Your continued use of the Platform after such updates are published constitutes explicit acceptance of the revised Terms.
